TERMS OF USE

These Terms of Use (“Terms”) govern your access to and use of websites, artist pages, fan experiences, campaign pages, accounts, and other digital services operated by Signl Networks, Inc. (“Signl,” “we,” “us,” or “our”), collectively, the “Services.”

By accessing or using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

1. ELIGIBILITY

You must be legally permitted to use the Services and provide the information requested.

Certain promotions, campaigns, events, offers, or features may have additional eligibility requirements, which will be disclosed with the applicable experience.

2. ACCOUNTS AND REGISTRATION

Some Services may require registration or account access.

You agree to provide accurate information and to keep any credentials associated with your account secure. You are responsible for activity conducted through your account or access credentials.

3. FAN EXPERIENCES AND PARTICIPATING ARTISTS

Signl provides technology and infrastructure for experiences involving participating artists.

Artist content, merchandise, music, tickets, events, promotions, offers, and third-party services may be subject to additional terms established by the applicable artist or provider.

Participation in a Signl-powered experience does not transfer ownership of an artist’s music, content, name, likeness, trademarks, or other intellectual property to Signl or to users of the Services.

4. SPONSORED EXPERIENCES

Some Services may contain sponsored content, brand-funded campaigns, promotions, fan perks, or offers.

Sponsorship and promotional relationships will be identified where required by applicable law.

Individual campaigns, contests, sweepstakes, or promotions may also be subject to additional terms or official rules.

5. ACCEPTABLE USE

You may not:

  • Use the Services for unlawful purposes

  • Interfere with the operation or security of the Services

  • Attempt to gain unauthorized access to accounts, systems, or data

  • Use automated systems to scrape, harvest, or extract information except where expressly authorized

  • Impersonate another person

  • Submit fraudulent, deceptive, infringing, unlawful, or harmful material

  • Circumvent security or access restrictions

  • Use the Services in a manner that infringes the rights of Signl, participating artists, partners, or other users

6. INTELLECTUAL PROPERTY

The Signl Services, including Signl technology, software, designs, trademarks, graphics, text, and other materials provided by Signl, are owned by or licensed to Signl and are protected by applicable intellectual-property laws.

Artist names, images, likenesses, music, trademarks, artwork, and other artist materials remain the property of their respective owners or licensors.

Brand names, trademarks, creative materials, and campaign assets remain the property of their respective owners or licensors.

Except as expressly permitted, these Terms do not grant you ownership or other rights in such intellectual property.

7. USER SUBMISSIONS

If you submit content, feedback, survey responses, comments, photographs, or other materials through the Services, you represent that you have the right to submit them.

You grant Signl the rights reasonably necessary to host, process, display, transmit, and otherwise use your submission to operate and administer the applicable Service, campaign, or experience, subject to our Privacy Policy.

Additional terms may apply when a promotion or campaign requests user-generated content.

8. THIRD-PARTY SERVICES

The Services may link to or integrate with third-party websites, social platforms, streaming services, ticketing platforms, merchandise providers, payment providers, and other services.

Signl does not control independent third-party services. Your use of those services may be governed by their own terms and privacy policies.

9. PROMOTIONS AND CONTESTS

Sweepstakes, contests, giveaways, and similar promotions may be governed by separate official rules.

If official rules conflict with these Terms regarding a particular promotion, the official rules will control with respect to that promotion.

10. COMMUNICATIONS

If you elect to receive marketing emails, you may unsubscribe using the mechanism included in those communications.

Text message programs are subject to our SMS Terms & Conditions and the consent disclosures presented when you enroll.

11. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

SIGNL DOES NOT WARRANT THAT THE SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT THIRD-PARTY CONTENT, PRODUCTS, OFFERS, OR SERVICES WILL MEET YOUR EXPECTATIONS.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIGNL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

13. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold Signl harmless from claims, damages, liabilities, and reasonable expenses arising from your unlawful misuse of the Services, violation of these Terms, or submission of material that violates another party’s rights.

14. MODIFICATION OR TERMINATION OF SERVICES

We may modify, suspend, or discontinue portions of the Services.

We may restrict or terminate access where reasonably necessary to protect the Services, our users, participating artists, partners, or legal rights.

15. CHANGES TO THESE TERMS

We may update these Terms from time to time.

The revised Terms will be posted with an updated “Last Updated” date. Where required by law, we will provide additional notice of material changes.

Your continued use of the Services following the effective date of revised Terms constitutes acceptance to the extent permitted by applicable law.

16. GOVERNING LAW

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where applicable consumer protection or other law requires otherwise.
